1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you and Ascend Holdings LLC, a Minnesota limited liability company doing business as betterDog ("betterDog," "we," "us," or "our"), governing your access to and use of betterdogshop.com (the "Site") and your purchase of any product offered through the Site.

By accessing the Site or placing an order, you accept these Terms in full. If you do not accept these Terms, you must not use the Site.

2. Eligibility

You must be at least eighteen (18) years of age and capable of forming a binding contract to use the Site or place an order. By placing an order, you represent and warrant that you meet these requirements.

3. Products and Intended Use

Products sold through the Site are nutritional supplements formulated for supplemental feeding in dogs only. They are not drugs, and they are not intended for human consumption.

Statements regarding our products have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease.

Nothing on the Site constitutes veterinary advice. You should consult a licensed veterinarian before beginning any supplement, particularly if your dog is pregnant, nursing, taking medication, or has a diagnosed medical condition.

4. Orders and Acceptance

All orders are offers to purchase and are subject to our acceptance. We may decline or cancel any order, in whole or in part, for any lawful reason, including suspected fraud, pricing or descriptive error, unavailability of product, or suspected abuse of a promotional offer or guarantee. If we cancel an order after payment has been taken, we will refund the amount charged.

5. Pricing, Taxes, and Payment

All prices are stated in United States dollars and exclude applicable sales tax, which is calculated at checkout based on your shipping address. We reserve the right to correct pricing errors and to change prices at any time. A price change will not affect an order we have already accepted.

You authorize us and our payment processors to charge the payment method you provide for the total order amount, including product price, shipping, and tax.

6. Auto-Refill Subscriptions

Purchases made on our Auto-Refill program are governed by our Subscription Terms, which are incorporated into these Terms by reference. Auto-Refill is a recurring purchase that continues until you cancel it.

7. Shipping, Returns, and Refunds

Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Refund and Returns Policy. Both documents are incorporated into these Terms by reference.

8. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly at support@betterdogshop.com of any unauthorized use.

9. Acceptable Use

You agree not to:

  1. use the Site for any unlawful purpose or in violation of these Terms;
  2. attempt to gain unauthorized access to the Site, its systems, or any account;
  3. interfere with or disrupt the operation of the Site, including by transmitting malicious code or imposing an unreasonable load on our infrastructure;
  4. scrape, harvest, or otherwise collect data from the Site by automated means without our prior written consent;
  5. resell or commercially redistribute our products without our prior written authorization; or
  6. submit any review, testimonial, or other content that is false, misleading, or not your own.

10. Intellectual Property

The Site and all content on it, including text, graphics, photographs, logos, product formulations as expressed in our labeling, and the betterDog name and marks, are owned by us or our licensors and are protected by United States and international intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use. All other rights are reserved. Easy-Cancel Protection is a trademark of Ascend Holdings LLC.

11. User Submissions

If you submit a review, photograph, testimonial, or other content to us or through the Site, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display that content in connection with our business. You represent that you own or control the rights to the content you submit and that it does not infringe the rights of any third party.

12. Third Party Services

The Site is hosted on Shopify and relies on third party services for payment processing, shipping, analytics, subscription management, and communications. Your use of the Site may be subject to the terms of those providers. We are not responsible for the acts or omissions of third parties.

13. Disclaimer of Warranties

Except as expressly set out in these Terms or as required by applicable law, the Site and all products are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error free, or secure, or that any particular result will be obtained from the use of any product. Results vary between individual dogs.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall betterDog, Ascend Holdings LLC, or their respective members, managers, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or any product, whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms, the Site, or any product shall not exceed the greater of (a) the total amount you paid to us for the product giving rise to the claim, or (b) one hundred United States dollars ($100.00).

Some jurisdictions do not permit the limitation or exclusion of liability for certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded as a matter of law.

15. Indemnification

You agree to indemnify, defend, and hold harmless betterDog, Ascend Holdings LLC, and their respective members, managers, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles. You and we consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Minnesota for the resolution of any such dispute, and you waive any objection to that venue.

17. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

18. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund and Returns Policy, and Subscription Terms, constitute the entire agreement between you and us regarding the Site and supersede all prior agreements and understandings on that subject.

19. Changes to These Terms

We may revise these Terms at any time by posting an updated version to the Site. The "Last updated" date will reflect the revision. Changes take effect when posted and apply to orders placed after that date. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of them.
